Changes in the UK Company Law

On 26 October 2023, the Economic Crime and Corporate Transparency Act was passed. The Act gives Companies House powers to better tackle economic crime and support economic growth.

The act includes a number of regulations that will be phased in over the next few years, with the first set of changes being introduced on 4 March 2024.

Here's what you need to know about the changes:

- Registered office address: Companies will now need to have a proper registered office address. PO Boxes won't count as such anymore, If your company uses a PO Box, you will need to update your address by 4 March 2024. However, a third party agent's address can be used if it meets the criteria;

- Email address requirement: Every company must provide an email address at the time of incorporation. Existing companies must also provide an email address when filing their next Confirmation statement. Don't worry, this email address will not be made public;

- Confirmation of Legal Purpose: If you are incorporating a new company, the subscribers (shareholders) must confirm that the company is being formed for for a lawful purposes. For existing companies, this confirmation must be included when filing their next Confirmation Statement.

From 1 May 2024, the fees for filing documents at Companies House will increase. These can be found on the Companies House website
